1. Acceptance of Terms
By accessing or using the Delegra platform, website, and digital delegation suite (the "Services"), you agree to be bound by these Terms of Service. These terms constitute a legally binding agreement between Delegra and you, the Authorised User (representing a Clinical Research Site, Sponsor, or Contract Research Organisation).
2. Professional Use Only
The Services are designed exclusively for professional use within the clinical research industry. By using the Services, you represent that:

You are an employee, contractor, or agent of a verified clinical research entity.

You will use the platform solely for its intended purpose of managing delegation logs and trial oversight.

You will not use the Services for any personal, household, or non-clinical purposes.
3. Stealth Pilot Program
Delegra is currently in a Stealth Pilot Phase.

Access: Access is granted on an invitation-only basis and is subject to verification of professional credentials.

Modification: We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time to reflect software updates or regulatory changes.

Feedback: Any feedback or suggestions provided by Pilot participants may be used by Delegra to improve the Services without any obligation of compensation.
4. Intellectual Property
All content, software, code, designs, and proprietary logic within the Delegra platform are the exclusive property of Delegra.

Restrictions: You may not decompile, reverse engineer, or attempt to extract the source code of our software.

Ownership: Use of the Services does not grant you any ownership rights to our Intellectual Property.
5. User Accounts & Security

Responsibility: You are responsible for maintaining the confidentiality of your login credentials.

Attribution: Under 21 CFR Part 11, your digital identity is the equivalent of a handwritten signature. You agree that any action taken under your account will be legally attributed to you.

Unauthorised Use: You must immediately notify info@delegra.co.uk if you suspect any unauthorised use of your account.
6. Regulatory Compliance
While Delegra is engineered to support GxP, 21 CFR Part 11, and GDPR compliance, the ultimate responsibility for "Inspection Readiness" and "PI Oversight" remains with the Clinical Site and the Sponsor. Delegra provides the tools, but the users must ensure they follow their specific Study Protocols and Standard Operating Procedures (SOPs).
7. Limitation of Liability
To the maximum extent permitted by law, Delegra shall not be liable for any indirect, incidental, or consequential damages resulting from:

The use or inability to use the Services.

Unauthorised access to or alteration of your transmissions or data.

Errors or omissions in clinical trial documentation managed via the platform during the Pilot Phase.
8. Data Integrity
We strive for "Zero-Latency" audit trails and maximum uptime. However, during the Pilot Program, users are encouraged to maintain secondary backups of critical trial documentation as a standard "Good Clinical Practice" (GCP) precaution.
9. Termination
We reserve the right to terminate or suspend your access to the Services immediately, without prior notice, if you breach these Terms of Service or if requested by regulatory authorities.
10. Governing Law
These Terms shall be governed and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law provisions.
